Termini e Condizioni di Vendita (Prodotti Digitali)

Le presenti Condizioni Generali di Vendita disciplinano l’acquisto di prodotti e servizi digitali forniti tramite il sito web www.webgenova.net (di seguito "Sito").  L’acquisto di prodotti avviene tramite la piattaforma sicura Leemon Squeezy (vedi paragrafo 9)

1. Oggetto del Contratto
Il contratto ha per oggetto la vendita di prodotti esclusivamente digitali (es. software, ebook, file multimediali, licenze d'uso). Trattandosi di contenuti forniti mediante supporto non materiale, non verrà effettuata alcuna spedizione fisica.

2. Modalità di Erogazione
Al completamento del pagamento, il Cliente riceverà l’accesso al prodotto digitale tramite:

Link di download inviato via email;
Accesso a un’area riservata sul Sito;
Invio di chiavi di licenza alfanumeriche.
Il Cliente è responsabile della conservazione dei file scaricati e della compatibilità del proprio hardware/software con il prodotto acquistato.

3. Prezzi e Fatturazione Elettronica
Tutti i prezzi sono indicati nella valuta specificata al momento del checkout. La transazione economica è gestita da Lemon Squeezy, in qualità di venditore ufficiale (Merchant of Record), che provvederà all'emissione della fattura o ricevuta fiscale all'utente finale, includendo l'eventuale IVA (VAT) ove applicabile in base alla residenza del cliente. Il Fornitore opera in Italia in Regime Forfettario (L. 190/2014) e pertanto non emette fattura elettronica diretta al cliente finale, essendo quest'ultimo in rapporto commerciale diretto con Lemon Squeezy. Ogni richiesta relativa a fatturazione o rimborsi dovrà essere inoltrata al supporto di Lemon Squeezy.

4. Esclusione del Diritto di Recesso
Ai sensi dell'art. 59, lett. o) del Codice del Consumo (D.Lgs. 206/2005), il diritto di recesso è escluso per la fornitura di contenuto digitale mediante supporto non materiale se l'esecuzione è iniziata con l'accordo espresso del consumatore e con la sua accettazione del fatto che avrebbe perso il diritto di recesso.

Nota Bene: Effettuando il download o visualizzando il contenuto digitale, il Cliente rinuncia espressamente al diritto di recedere dall'acquisto.

5. Proprietà Intellettuale e Licenza d'Uso
Tutti i prodotti digitali sono protetti dalle leggi sul diritto d’autore. L’acquisto conferisce al Cliente una licenza d'uso personale, non esclusiva e non trasferibile. È severamente vietato:

Rivendere, condividere o distribuire i file a terzi;
Modificare o tentare di decodificare il software/file;
Utilizzare il contenuto per scopi commerciali senza esplicita autorizzazione scritta.

6. Limitazione di Responsabilità
L'applicativo WG-PromptGen viene fornito "così com'è" (As-Is), senza garanzie di alcun tipo, espresse o implicite. Il Fornitore non garantisce l'accuratezza, la completezza o l'efficacia dei prompt generati o dei dati estratti tramite scraping, poiché tali risultati dipendono da algoritmi di terze parti (IA) e dalla struttura variabile dei siti web analizzati. In nessun caso il Fornitore sarà ritenuto responsabile per danni diretti, indiretti, incidentali o consequenziali derivanti dall'uso del software, inclusi, a titolo esemplificativo, perdite di profitto, interruzioni di attività o violazioni dei termini di servizio di piattaforme terze (es. OpenAI, motori di ricerca). L'utente è l'unico responsabile della verifica e dell'uso dei contenuti generati e della conformità alle normative vigenti in materia di copyright e privacy durante le attività di scraping.

7. Protezione dei Dati Personali
I dati forniti saranno trattati esclusivamente per le finalità legate all'esecuzione del contratto e agli obblighi fiscali, in conformità al Regolamento UE 2016/679 (GDPR). Si rimanda alla Privacy Policy per i dettagli.

8. Legge Applicabile e Foro Competente
Il presente contratto è regolato dalla legge italiana. Per ogni controversia relativa alla validità, interpretazione o esecuzione del contratto, il foro competente sarà:

Il Foro del Consumatore (luogo di residenza del Cliente), se il Cliente è un consumatore privato.
Il Foro di Genova, se il Cliente è un professionista/azienda (B2B).

9. Gestione dei Pagamenti e Consegna Digitale 

Il processo di acquisto, la fatturazione e la consegna digitale del software WG-PromptGen sono gestiti interamente da Lemon Squeezy, che agisce in qualità di Merchant of Record ufficiale. Effettuando un ordine, l'utente accetta i termini di servizio e la politica sulla privacy di Lemon Squeezy. Al completamento della transazione, l'utente riceverà una conferma immediata via email contenente il link per il download sicuro dell'applicativo e i dettagli per l'attivazione della licenza.

These General Terms and Conditions of Sale govern the purchase of digital products and services provided through the website www.webgenova.net (hereinafter the “Website”). Purchases of products are made through the secure Leemon Squeezy platform (see Section 9)

1. Subject Matter of the Contract
The subject matter of the contract is the sale of exclusively digital products (e.g., software, e-books, multimedia files, user licenses). Since the content is provided via non-physical means, no physical shipment will be made.

2. Delivery Method
Once payment is complete, the Customer will receive access to the digital product via:

A download link sent via email;
Access to a restricted area on the Website;
The provision of alphanumeric license keys.
The Customer is responsible for storing the downloaded files and verifying the compatibility of their hardware/software with the purchased product.

3. Prices and Electronic Invoicing
All prices are listed in the currency specified during checkout. The financial transaction is managed by Lemon Squeezy, acting as the official Merchant of Record. Lemon Squeezy is responsible for issuing the invoice or tax receipt to the end user, including any applicable VAT based on the customer’s location. The Provider operates under the Italian "Regime Forfettario" (L. 190/2014) and therefore does not issue direct electronic invoices to the customer, as the commercial relationship for the sale is established directly with Lemon Squeezy. Any inquiries regarding billing or refunds must be directed to Lemon Squeezy support.

4. Exclusion of the Right of Withdrawal
Pursuant to Article 59(o) of the Consumer Code (Legislative Decree 206/2005), the right of withdrawal is excluded for the supply of digital content via non-tangible means if performance has begun with the consumer’s express consent and with their acceptance that they would lose the right of withdrawal.

Please Note: By downloading or viewing the digital content, the Customer expressly waives the right to withdraw from the purchase.

5. Intellectual Property and License of Use
All digital products are protected by copyright laws. The purchase grants the Customer a personal, non-exclusive, and non-transferable license of use. It is strictly prohibited to:

Resell, share, or distribute the files to third parties;
Modify or attempt to decode the software/files;
Use the content for commercial purposes without explicit written authorization.

6. Limitation of Liability
The WG-PromptGen application is provided “as is,” without warranties of any kind, either express or implied. The Supplier does not guarantee the accuracy, completeness, or effectiveness of the generated prompts or the data extracted via scraping, as these results depend on third-party algorithms (AI) and the variable structure of the analyzed websites. Under no circumstances shall the Provider be held liable for any direct, indirect, incidental, or consequential damages arising from the use of the software, including, but not limited to, loss of profits, business interruptions, or violations of the terms of service of third-party platforms (e.g., OpenAI, search engines). The user is solely responsible for verifying and using the generated content and for complying with applicable copyright and privacy laws during scraping activities.

7. Protection of Personal Data
The data provided will be processed exclusively for purposes related to the performance of the contract and tax obligations, in accordance with EU Regulation 2016/679 (GDPR). Please refer to the Privacy Policy for details.

8. Governing Law and Jurisdiction
This agreement is governed by Italian law. For any dispute regarding the validity, interpretation, or performance of this agreement, the competent court shall be:

The Consumer Court (the Customer’s place of residence), if the Customer is a private consumer.
The Court of Genoa, if the Customer is a business/company (B2B).

9. Payment Processing and Digital Delivery 

The purchase process, billing, and digital delivery of the WG-PromptGen software are managed entirely by Lemon Squeezy, which acts as the official Merchant of Record. By placing an order, the user accepts Lemon Squeezy’s terms of service and privacy policy. Upon completion of the transaction, the user will receive an immediate email confirmation containing the link for the secure download of the application and the details for activating the license.
